We are seeking a seasoned Senior Counsel, Commercial Transactions to lead our growing team of attorneys responsible for a broad range of legal matters that support our dynamic global operations. This is a high-impact leadership position offering the opportunity to shape legal strategy and execution in support of Lime's new business/market opportunities, standard business agreements, global procurement and supply chain operations, complex trade and tariff counseling, and other strategic initiatives including developing the legal framework to support new business ventures, M&A due diligence, and other high-level corporate activities.

This is a U.S. based remote position reporting into our Senior Legal Director.

What you’ll do:

  • Leadership & Team Management: Develop and manage a team of commercial attorneys and legal professionals. Provide strategic direction, foster professional growth, and ensure alignment with Lime's business and legal priorities.

  • Contracting & Negotiations: Lead and project-manage the drafting, negotiation, and execution of a wide variety of commercial contracts, including procurement, technology, services, and supply chain agreements, and any associated data processing addenda, service schedules, statements of work, and service level agreements.

  • Policy, Process & Tool Improvements: Develop and operationalize policies, templates, negotiation plans, and playbooks that are designed to ensure transactional consistency and improve operational efficiency. Stay abreast of the latest developments in technology and tools that may be considered to drive further operational and transactional efficiencies within your practice.

  • Strategic Counseling: Provide high impact partnership with Lime's executive team members to develop a position as a trusted legal and business advisor. Partner with cross-functional leadership teams on business-critical projects including new business initiatives, global product regulatory requirements, product launches, go-to-market strategies, and cross-border operations.

  • Trade & Tariff Compliance: Advise the business on the trade and tariff matters associated with Lime's complex global sourcing and logistics strategy, including international import and export requirements and strategies to drive logistics efficiencies while mitigating customs costs and time delays.

  • M&A Support: Lead or support legal due diligence, contract review, and integration planning for mergers, acquisitions, and joint ventures.

About you:

  • J.D. from an accredited law school and active bar membership in good standing.

  • 10+ years of relevant commercial legal experience developing a deep expertise in complex commercial transactions, with at least 7 years of in-house legal experience advising senior executives at a multinational company.

  • Outstanding analytical, drafting, negotiation, collaboration, written and communication skills, paired with the ability to view issues holistically and operate as a "business owner," not just as a lawyer, with excellent judgment and the ability to balance legal risk and commercial objectives.

  • Ability to break complex problems into component parts, identifying which components require input from other teams or more senior leaders.

  • Deep experience supporting global product development and go-to-market activities, strategic transactions, manufacturing, procurement, and logistics operations with a strong understanding of international trade, tariffs, and regulatory frameworks.

  • Experience supporting M&A projects and strategic business initiatives from a legal perspective.

  • You are curious, humble, enjoy working collaboratively in cross-functional teams and possess exceptional interpersonal and communication skills.

  • You are committed to fostering a diverse, equitable, and inclusive work environment and have prioritized participating in DEI initiatives in past roles.
